Don't get Daniel started on holocracy
00:22:00
Pablo Villalba:

00:27:14
Pepe Carrillo:
Hippie lawyera are welcome too :)
00:27:24
Diego CAYUELA:
#governance in discord :)
00:28:09
Ant Hiron:
Build and Strike is and Ad-Hocraccy
00:28:36
Paloma Zulueta:
Its good to see that the NCA board has the same intention of the SL and is taking the same position with asking Metaleads and Leads at GNSL every meeting and at the ALM to help directors make every informed decision fair.
00:29:11
Chris Olsen:
The Discord link is here for anyone who needs it:

00:30:08
Paul Hardcastle:
@paloma hah I was just thinking that, 'this sounds familiar'
00:31:34
Peter Drier:
the board is in some essence a shell between the community and the outside world.
00:33:07
Felicitas P:
What's the best way to contact Ben when interested in contributing to the governance? There are at least two Ben's in discord π
00:33:28
Chris Olsen:
the #governance channel will find anyone involved as well
00:33:39
Daniel Tenner:

Michel Uyttebroeck:
π
00:48:21
Diego CAYUELA:
very interesting points
00:49:17
Ant Hiron:
disagree that it could 'end the event'. thats catastrophising
00:51:10
Ant Hiron:
its a bit unfair of justin to just throw in his opinion bit not be here to talk about it..
00:51:28
Tyche Siebers:
he is genuinly sorry not to be here
00:52:02
Ant Hiron:
of course
00:52:07
Chris Olsen:
I have to go in the middle of what is a very exciting discussion! But I am looking forward to watching it back later.
00:52:56
Peter Drier:
30 days by statute, but realistically 45 days with notification
00:53:19
Diego CAYUELA:
bye chris :)
00:53:28
Daniel Tenner:
Bye Chris!
00:55:03
Tyche Siebers:
definitly
00:55:15
Tyche Siebers:
I think if you asked a random association memenber what that is
00:55:22
Tyche Siebers:
they might not be able to answer
00:55:49
Ben Donaldson:
Pepe (as legal advisor) may also be able to directly respond to someof the legal questions
00:55:52
Ant Hiron:
with an assosicaiton we have the possibility to collect money in memberships fees. not right away.. but its a good way to even out the losses and expenditures of production
00:56:06
Daniel Tenner:
And we can also take donations
00:56:18
Tyche Siebers:
so no one is currently being paid?
00:56:34
Daniel Tenner:
@Tyche this will be answered shortly
00:56:38
Tyche Siebers:
because it states that someone has already been hired
00:56:46
Tyche Siebers:
okay thanks :)
00:56:54
Pablo Villalba:
we expect to be sharing finances to the maximum granularity we can get to without sharing personal data
00:57:11
Ben Donaldson:
personal liability
00:57:14
Pablo Villalba:
none of the board members are compensated
00:58:09
Tyche Siebers:
no I mean the coordinator I know the board isnt - also fine if so! just curious
00:58:13
Diego CAYUELA:
Dan, as mc can you switch the pinned view of who's talking?
00:58:45
Diego CAYUELA:
thx
00:59:32
Tyche Siebers:
on what terms?
00:59:55
Tyche Siebers:
okay cool
01:00:23
Pablo Villalba:
multiple board members offered to provide loans until we have donations or ticket sales
01:00:34
Tyche Siebers:
yeah I don't mean any of this to sound like I think anything is being done wrong, I just don't know these things and am curious about how it is working
01:01:04
Ant Hiron:
he ran awya from the hard questions
01:01:08
Tyche Siebers:
its great to hear that you have such confidence that you would do that
01:01:21
Tyche Siebers:
just it's good to have clarity for eveyrone on how it is happening
01:01:27
Ben Donaldson:
he 'went into a tunnel'
01:02:14
Peter Drier:
we've had a number of expenses so far, legal, accountant, google, mailchimp, hetzner, .. Compared to our annual budget, this is roughly what the "geeks" budget has been historically within the SL so far.
01:02:23
Ant Hiron:
can you share legal docs where we can see some of ths?
01:02:28
Tyche Siebers:
would you and the other lawyers provide a written statement that this is the case ?
01:02:42
Ant Hiron:
or that
01:02:51
Tyche Siebers:
yeah or the legal docs
01:05:46
Daniel Tenner:
It will be shared
01:06:30
Ben Donaldson:
it is contingent on that for me
01:08:44
Ant Hiron:
Wooo love a Spanish Asso....
01:09:15
Tyche Siebers:
the other thing to address on the financial side is what happens if the event is cancelled after a GO
01:09:29
Ant Hiron:
is there more liabilty for Board members?
01:10:03
Pablo Villalba:
yes, and that is why it's in our interest to do things as cleanly as possible
01:10:25
Peter Drier:
There is insurance that covers the board in a similar fashion to the insurance that covers directors of an SL.
01:10:32
Tyche Siebers:
EG what is the plan if we have spent ticket money on vendor deposits, but then need to refund because we don't sell enough tickets overall
01:12:52
Pepe Carrillo:
Put simply, directors have more 'skin in the game'. They are legally responsible for the activities of the association so their exposure to liability is higher, especially in cases of misconduct (and similar). This means, shady business = crazy fines + jail time (potential).
01:15:01
Pablo Villalba:
thank you power team!!!
01:15:47
Heiko Lampe:
Do we have some "deal breakers" defined? Even if all is green and one of those fails, we would fail?
01:19:03
Peter Drier:
Ultimately, we aim to minimize our payments until it's required. Not much comes due prior to May.
01:20:38
Ben Donaldson:
best way to minimise uncertainty
01:20:45
Ben Donaldson:
get into crypto
01:20:49
Tyche Siebers:
everyone becomes a cryptobro in the end it seems
01:20:53
Paul Hardcastle:

01:22:12

01:27:44
Ben Donaldson:

01:28:54
condor ..:
If we are gonna discuss the go / no go a bit further, what discord channel?
01:29:13
Pablo Villalba:
we could take questions now
01:29:36
Pablo Villalba:
and then follow up on discord. should i make a public channel?
01:29:50
Joao Torres:
I'm also confused about which channel at discord the go / no-go is being discussed. Is it #governance?
01:30:03
Daniela M Siem:
#governance?
01:30:07
Kate Beecroft:
yes, it's #governance
01:30:12
Anna Tam:
I see discussion about it on governance
01:30:20
Pablo Villalba:
or #governance if you all prefer
01:30:44
condor ..:
π
01:31:04
Pablo Villalba:
i can send an #update to direct people there with whatever kate, ela and juilian would like
01:31:09
Heiko Lampe:
As a question (have a lot of background noise), are there defined deal breakers?
01:32:43
Kate Beecroft:
like 'non negotiables'?
01:33:15
Paul Hardcastle:
if continuity is a problem then surely breaking the continuity fixes that?
01:33:45
Ant Hiron:
the continuity is legal not chronological
01:33:50
Joao Torres:
Taking 1 year off is enough? Should it be 3 or 10?
01:34:14
Joao Torres:
That's exactly my question, to the lawyers, which I'm not
01:34:38
Tyche Siebers:
the thing is a lot of it is the same, the people, the stuff, the site, the vendors
01:34:53
Ant Hiron:
ive never been here before Senor Agente
01:35:00
Ben Donaldson:
which is why there is a non-zero risk -but that risk doesn't go away with a year off
01:35:25
Joao Torres:
Re: Tyche: If that is the concern, so the solution isn't taking a break but changing the whole structure
01:36:13
Pablo Villalba:
i miss emoji reactions in chat comments
01:36:22
Ant Hiron:
same!
01:36:36
Paul Hardcastle:
and being able to @ people
01:36:43
Joao Torres:
Back to Zoom? :P
01:36:54
Ant Hiron:
zoom chat is more fun
01:37:12
condor ..:
I assumed skipping a year would be a benefit regarding continuity, so thanks for you perspective Pepe.
01:37:59
Tyche Siebers:
(There is mixed opinion about this online, in some places it does say that it helps to have a break, and there are three people on the board who were heavilty involved in NOrg)
01:38:25
Ben Donaldson:
it doesn't affect the legal exposure to succession
01:38:38
Ben Donaldson:
and its not about involvement
01:38:46
Ben Donaldson:
it's about legal responsibility
01:38:53
Ben Donaldson:
executive responsibility
01:38:57
Tyche Siebers:
Okay cool
01:39:26
Tyche Siebers:
sorry for all the questions, there is just a lot to understand!
01:39:38
Daniel Tenner:
